Spin Off | NGEX MINERALS LTD | 23rd October 2025

NGEX MINERALS LTD has confirmed the Spin Off of LUNR ROYALTIES CORP stock with a ratio of 0.25. NGEX MINERALS LTD shareholders voted on the arrangement on September 12, 2025, and approved the scheme. On September 18, 2025, NGEX MINERALS LTD announced that the Supreme Court of British Columbia has approved the spin out transaction. On October 18, 2025, NGEX MINERALS LTD announced that the closing of the arrangement will be October 23, 2025. It is anticipated that NGEX MINERALS LTD shareholders holding NGEX MINERALS LTD shares as of the close of business on October 22, 2025, will be entitled to receive the New NGEX MINERALS LTD shares and the LUNR ROYALTIES CORP shares pursuant to the arrangement. LUNR ROYALTIES CORP intends to apply to list the LUNR ROYALTIES CORP shares on the TSXV shortly following completion of the spin off.
