Spin Off | JACOBS SOLUTIONS INC | 30th September 2024

On November 20, 2023, JACOBS SOLUTIONS INC announced that it had entered into a definitive agreement to spin-off and combine its Critical Mission Solutions and Cyber & Intelligence government services businesses with AMENTUM HOLDINGS INC to create a new publicly-traded company in the government services sector. Upon closing, the combined company will be known as AMENTUM HOLDINGS INC (Symbol: AMTM). Holders of JACOBS SOLUTIONS INC common stock will be entitled to receive one share of AMENTUM HOLDINGS INC common stock for every one share of JACOBS SOLUTIONS INC common stock held. The transaction is expected to be completed after market close on September 27, 2024. JACOBS SOLUTIONS INC anticipates that regular-way trading of AMENTUM HOLDINGS INC common stock will begin on September 30, 2024.
