Spin Off | HOWARD HUGHES HOLDINGS | 1st August 2024

On July 18, 2024, HOWARD HUGHES HOLDINGS (HHH) announced that it will spin-off SEAPORT ENTERTAINMENT GROUP INC and distribute the outstanding shares of SEAPORT ENTERTAINMENT GROUP INC to HHH shareholders with a ratio of 1 new share of SEAPORT ENTERTAINMENT GROUP INC per every nine HHH shares held on the record date. The Ex date of the distribution will be August 1, 2024. Regular-way trading of SEAPORT ENTERTAINMENT GROUP INC common stock is expected to begin on NYSE American on August 1, 2024, under the symbol ‘SEG.’

• The spin-off company SEAPORT ENTERTAINMENT GROUP INC will be added to the Index according to the transaction terms.
