Spin Off | COSTAMARE INC | 7th May 2025

COSTAMARE INC (CMRE) has confirmed the Spin Off of COSTAMARE BULKERS HOLDINGS LIMITED (CMDB). The distribution ratio is one CMDB share for every five CMRE shares held, or 0.2 of a CMDB share for each CMRE share held. The record date is April 29, 2025; the payable date is May 6, 2025. The NYSE has set May 7, 2025 as the ex-date for the distribution. COSTAMARE BULKERS HOLDINGS LIMITED will begin regular-way trading on Nasdaq on May 7, 2025, under the symbol CMDB.
