Spin Off | CONTINENTAL AG-ADR | 23rd September 2025

Solactive AG notes the announcement of the executive board of CONTINENTAL AG whereby it resolved with the approval of the supervisory board to legally separate and Spin-Off the Sector Automotive to AUMOVIO SE. The annual general meeting of CONTINENTAL AG approved the Spin-off on April 25, 2025. The Spin-Off will lead to two fully independent companies. AUMOVIO SE will establish a sponsored ADR program and American Depositary Shares of AUMOVIO SE will be distributed to holders of CONTINENTAL AG ADSs at the distribution ratio of 1 AUMOVIO SE ADS for every 4 CONTINENTAL AG ADSs held. The ex-date has been set as September 23, 2025.

The treatment below will be applied to the following indices:

• The spin-off company AUMOVIO SE – SPONS ADS will be added to the Index according to the transaction terms.
