Merger | UK COMMERCIAL PROPERTY REIT LTD & TRITAX BIG BOX REIT PLC | 16th May 2024

On March 21, 2024 the Board of Directors announced the agreement of terms of a recommended all share combination of UK COMMERCIAL PROPERTY REIT LTD and TRITAX BIG BOX REIT PLC. Under the terms of the combination, each shareholder of UK COMMERCIAL PROPERTY REIT LTD will receive 0.444 new shares of TRITAX BIG BOX REIT PLC for every share held. UK COMMERCIAL PROPERTY REIT LTD shareholders approved the scheme at a meeting held on May 2, 2024. Completion of the Combination remains subject to the satisfaction of the remaining Conditions and further terms set out in the Scheme Document, including the Court sanctioning the Scheme at the Sanction Hearing expected on May 16, 2024. Subject to Court approval, the last day of trading on UK COMMERCIAL PROPERTY REIT LTD shares is expected on May 15, 2024. Suspension of listing on UK COMMERCIAL PROPERTY REIT LTD shares is expected on May 16, 2024.

The treatment below will be applied to the following indices:

• UK COMMERCIAL PROPERTY REIT LTD will be removed from the Index.
• The shares of TRITAX BIG BOX REIT PLC (BBOXT.L) will be increased according to the stock terms of the transaction.
• Effective Date (open): 16/05/2024
