Merger | LIVENT CORP & ARCADIUM LITHIUM PLC | 4th January 2024

On May 10, 2023, ALLKEM and LIVENT CORP announced the signing of a definitive agreement to combine the two companies to create a leading global lithium chemicals producer (“ARCADIUM LITHIUM PLC”). Under the Merger, LIVENT CORP shareholders will receive 2.406 ARCADIUM LITHIUM PLC NYSE listed shares of common stock for each LIVENT share held. Additionally, eligible principal register shareholders of ALLKEM will receive ARCADIUM LITHIUM PLC ASX listed CDIs by default. As a result of the transaction, LIVENT CORP and ALLKEM will be wholly owned subsidiaries of ARCADIUM LITHIUM PLC. Immediately following the completion of the transaction, former ALLKEM shareholders are expected to own approximately 56% of ARCADIUM LITHIUM PLC and former LIVENT CORP shareholders are expected to own approximately 44% of ARCADIUM LITHIUM PLC. On December 19, 2023, ALLKEM and LIVENT shareholders approved the merger. The US Merger effective time is tentatively scheduled for January 4, 2024. Trading on the NYSE of ARCADIUM LITHIUM PLC shares is expected to commence on January 4, 2024 (open).

• LIVENT CORP will be removed from the Index.
• The shares of ARCADIUM LITHIUM PLC (ALTM.N) will be increased according to the stock terms of the transaction.
