Mandatory Conversion | ENCAVIS AG | 26th June 2024

On March 14, 2024 KKR launched a voluntary public takeover offer to all shareholders of ENCAVIS AG at a price of EUR 17.50 per share in cash. Initial tender offer period expired on May 30, 2024. Based on the announcement on June 4, 2024, KKR & CO INC exceeds acceptance threshold for voluntary public takeover offer for ENCAVIS AG. Acceptance rate amounts to 68.55 percent of all outstanding ENCAVIS AG shares. Additional acceptance period will run from 5 June 2024 until 18 June 2024. On June 21, 2024 the total number of ENCAVIS AG Shares for which the Takeover Offer has been accepted represent approximately 87.41 percent of ENCAVIS AG share capital. Due to the fact that the Offer Conditions described in the Offer Document have not been fulfilled yet, the settlement of the Takeover Offer for the ENCAVIS AG Shares tendered during the acceptance period and the additional acceptance period will be delayed until such Offer Conditions are fulfilled. Post settlement, KKR and the Management Board of ENCAVIS AG intend to delist ENCAVIS AG from the stock exchange as soon as legally and practically possible after closing. As the free float of ENCAVIS AG has dropped below 15 percent, Solactive AG will apply a mandatory conversion to ENCAVIS AG (ECV GY) to the tendered line of ENCAVIS AG (ECV1 GY) on a one to one basis effective open June 26, 2026.

The treatment below will be applied to the following indices:

• ENCAVIS AG will be removed from the Index.
• The shares of ENCAVIS AG (TENDERED) (ECV1v.DE) will be increased according to the stock terms of the transaction.
• Effective Date (open): 26/06/2024
