Mandatory Conversion | COVESTRO AG | 5th December 2024

On October 1, 2024 ADNOC International Germany Holding AG announced an all cash acquisition of COVESTRO AG for EUR 62 per share. On December 2, 2024 the result of the tender offer period was announced with acceptances reaching 69.94 percent of the total shares outstanding of COVESTRO AG. Shareholders, who have not tendered their shares, can still accept the offer during the additional acceptance period, which runs until (included) December 16, 2024. The closing of the Takeover Offer is still subject to further regulatory conditions, including merger control, foreign investment control, and EU Foreign Subsidies Regulation clearances. As the conditions are met, as these have been set in 2.1.7.2 of the Solactive methodology, Solactive AG will apply a mandatory conversion to the indices on a one to one basis. COVESTRO AG UNTENDERED (ISIN: DE0006062144) will be replaced by COVESTRO AG TENDERED (ISIN: DE000A40KY26).

The treatment below will be applied to the following indices:

• COVESTRO AG will be removed from the Index.
• The shares of COVESTRO AG (TENDERED) (1COv.DE) will be increased according to the stock terms of the transaction.
• Effective Date (open): 05/12/2024
