Solactive AG notes the announcement in relation to the proposed combination of SMURFIT KAPPA GROUP PLC (RIC-SKG.I, Sedol- B1RR828) and WESTROCK COMPANY (RIC-WRK.N, Sedol-BYR0914) to create a new combined group SMURFITWESTROCK LIMITED.Each Shareholder of SMURFIT KAPPA GROUP PLC (RIC-SKG.I, Sedol- B1RR828) will receive 1 share of SMURFITWESTROCK LIMITED for every share held.Each Shareholder of WESTROCK COMPANY (RIC-WRK.N, Sedol-BYR0914) will receive 1 share of SMURFITWESTROCK LIMITED and USD 5 in cash for every share held.New SMURFITWESTROCK LIMITED shares issued under the scheme are expected to commence trading on New York Stock Exchange and London Stock Exchange.
The first trading date of SMURFITWESTROCK LIMITED is expected to be July 8, 2024.SMURFIT KAPPA GROUP PLC (RIC-SKG.I, Sedol- B1RR828) confirms its intention to cancel its secondary listing on Euronext Dublin.The last day of trading in shares of SMURFIT KAPPA GROUP PLC (RIC-SKG.I, Sedol- B1RR828) on Dublin Stock Exchange is July 2, 2024.The last day of trading in shares of SMURFIT KAPPA GROUP PLC (RIC-SKG.L, Sedol- B1RR840) on London Stock Exchange is July 5, 2024.The last day of trading in shares of WESTROCK COMPANY (RIC-WRK.N, Sedol- BYR0914) on New York Stock Exchange is July 5, 2024
The following treatment will be implemented:
1. Solactive AG will treat this event as merger of equals for below
a.    SMURFIT KAPPA GROUP PLC (RIC-SKG.L, Sedol- B1RR840) whereby SMURFIT KAPPA GROUP PLC SKG.L will be removed from the index and shares of newly formed company SMURFITWESTROCK LIMITED will be added according to the stock terms (1 for 1) which will commence trading on London Stock Exchange effective July 8, 2024.
b.    WESTROCK COMPANY (RIC-WRK.N, Sedol-BYR0914) whereby WESTROCK COMPANY (WRK.N) will be removed from the index and shares of newly formed company SMURFITWESTROCK LIMITED will be added according to the stock terms (1 for 1) which will commence trading on New York Stock Exchange effective July 8, 2024. The cash portion of the transaction will be distributed pro rata to remaining Index constituents.
2.  SMURFIT KAPPA GROUP PLC (RIC-SKG.I, Sedol- B1RR828) will be removed from indices effective July 3, 2024.
