Solactive AG notes the latest announcement on October 31, 2025, where NB BANCORP ORD and PROVIDENT BANCORP INC announced an agreement under which NB BANCORP ORD will acquire all of the outstanding shares of PROVIDENT BANCORP INC in either: a) 0.691 shares of NB BANCORP ORD common stock per share of PROVIDENT BANCORP INC Common stock (“Stock Consideration”), b) $13.00 in cash per share of PROVIDENT BANCORP INC common stock (“Cash Consideration”). Under the terms of the election, shares which are not subject to an effective election will be treated as Non-electing shares and converted into the right to receive cash, NB BANCORP ORD shares, or a combination of cash and NB BANCORP ORD shares depending on the valid elections of other Provident stockholders and subject to the allocation and proration procedures in the Merger Agreement.

The election deadline for PROVIDENT BANCORP INC Stockholders for their preferred form of merger consideration is November 7, 2025. November 14, 2025 will be the last day trading of PROVIDENT BANCORP INC.

Solactive AG notes that the final acquisition terms are subject to proration and will be announced after the end of the election period. Solactive AG will announce the index treatment when the final terms are announced. Following the announcement, Solactive AG will implement the deletion according to our Equity Index Methodology.
