Acquisition | UPONOR OYJ | 7th November 2023

Initially announced on June 12, 2023 GEORG FISCHER AG made a cash offer for UPONOR OYJ of EUR 28.85 per UPONOR OYJ share held. As of September 12, 2023 the offer price per share is EUR 28.50 in cash adjusted for Uponor’s dividend payment. The offer period commenced on June 26, 2023, and expired on October 31, 2023. The Finnish Financial Supervisory Authority approved the tender offer on October 20, 2023. Based on the preliminary result of the Tender Offer, 59,065,644 Shares were tendered in the Tender Offer representing approximately 81.1 percent of all the Shares and voting rights. Together with the 7,946,615 Shares held prior to the offer, approximately 92.0 percent of all the Shares and voting rights are now held by GEORG FISCHER AG. As the free float of UPONOR OYJ is below 15 percent, Solactive AG will remove UPONOR OYJ from the indices effective open November 7, 2023.

The treatment below will be applied to the following indices:

• UPONOR OYJ will be removed from the Index.
• The weight of UPONOR OYJ (UPONOR.HE) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 07/11/2023
