Acquisition | UMW HOLDINGS BHD | 18th January 2024

On 23 August SIME DARBY BERHAD entered into a purchase agreement to acquire the share capital of UMW HOLDINGS BHD. Each shareholder of UMW HOLDINGS BHD will receive 5 MYR in cash for every share held. Based on the announcement on 15 January 2024, the Offeror had received valid acceptances of not less than nine-tenths (9/10) in the nominal value of UMW Shares. As such, the Offeror will invoke the provisions of compulsory acquisition to acquire the remaining shares not tendered. Since the free float has dropped below 15 percent, Solactive AG will remove UMW HOLDINGS BHD after giving 2 business days notice.

The treatment below will be applied to the following indices:

• UMW HOLDINGS BHD will be removed from the Index.
• The weight of UMW HOLDINGS BHD (UMWS.KL) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 18/01/2024
