Acquisition | TRITON INTERNATIONAL LTD | 3rd October 2023

On April 12, 2023, TRITON INTERNATIONAL LTD announced its acquisition by BROOKFIELD INFRASTRUCTURE CORP. The transaction was approved on shareholder meeting on August 24, 2023. Each share of Triton International will be exchanged for USD 68.50 in cash and a value of USD 16.50 in shares of Brookfield Infrastructure, as determined by the closing 10-Day VWAP ending on the third day prior to the merger for Brookfield Infrastructure shares on the NYSE. The stock terms are subject to a collar such that the stock exchange ratio is no less than 0.3352 and no greater than 0.3895 of a share of Brookfield Infrastructure stock per each share of Triton International held. Based on Brookfield Infrastructure’s 10-Day Average VWAP for the period between 13 September and 26 September (inclusive), holders of Triton International are expected to receive the maximum ratio of 0.3895 of a share of Brookfield Infrastructure per each share of Triton International held. To-date the final election result has not been announced, while the preliminary result indicates the final cash and stock consideration is USD 68.50 in cash and 0.3895 BIPC shares. The final non-election consideration and terms is still pending for the final announcement to be made by the company. However, the transaction now is completed as anticipated on September 28, 2023. In the absence of the final election announcement, TRITON INTERNATIONAL LTD will be removed from the indices at the transaction terms of USD 68.5 in cash and 0.3895 of a share of BROOKFIELD INFRASTRUCTURE CORP CLASS A EXCHANGEABLE SUBORDINATE VOTING SHARES for each TRITON share held.

• The weight of TRITON INTERNATIONAL LTD (TRTN.N) based on its last close price will be distributed pro rata to remaining Index constituents.
