Acquisition | TRANSALTA RENEWABLES INC | 5th October 2023

On July 11, 2023, TRANSALTA RENEWABLES INC and TRANSALTA CORP announced they have entered into a definitive arrangement agreement, under which TRANSALTA CORP will acquire all of outstanding common shares of TRANSALTA RENEWABLES not already owned. Each TRANSALTA RENEWABLES share will be exchanged for, at the election of each holder TRANSALTA RENEWABLES shares: 1.0337 common shares of TRANSALTA CORP each TRANSALTA RENEWABLES held; or CAD 13.00 in cash. Non-election holders will be deemed to have elected to receive the Share Consideration. While the considerations are subjected to pro-ration on maximum Cash Consideration of CAD 800 million and maximum Share Consideration of 46,441,779 TRANSALTA CORP shares. The TRANSALTA RENEWABLES shareholder meeting on September 26, 2023 approved the transaction. The transaction is expected to close on October 5, 2023 following receipt of the final approval of the Court of King’s Bench of Alberta with respect to the Arrangement.

• The weight of TRANSALTA RENEWABLES INC (RNW.TO) based on its last close price will be distributed pro rata to remaining Index constituents.
