Acquisition | TI FLUID SYSTEMS PLC | 15th April 2025

On 29 November 2024, the boards of directors of TI FLUID SYSTEMS PLC and ABC TECHNOLOGIES INC. announced that they had reached agreement on the terms of a recommended all cash offer by ABC TECHNOLOGIES INC for the entire issued, and to be issued, ordinary share capital of TI FLUID SYSTEMS PLC. Each shareholder of TI FLUID SYSTEMS PLC will receive GBP 2 in cash for every share held. The Court Sanction Hearing approved the scheme on April 8, 2025. The last trading date is expected to be April 14, 2025.

The treatment below will be applied to the following indices:

• TI FLUID SYSTEMS PLC will be removed from the Index.
• The weight of TI FLUID SYSTEMS PLC (TIFS.L) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 15/04/2025
