Acquisition | SPIR GROUP | 5th February 2026

On December 19, 2025 Bidco Clover AS launched a tender offer to acquire entire share capital of SPIR GROUP. Each shareholder of SPIR GROUP will receive NOK 8.567 in cash for every share held. The tender offer expired on January 30, 2026. As per the results announced Clover AS holds 89.61 percent of shares of SPIR GROUP. Since the free float has dropped below 15 percent, Solactive AG will remove SPIR GROUP giving 2 business days notice.

The treatment below will be applied to the following indices:

• SPIR GROUP will be removed from the Index.
• The weight of SPIR GROUP (SPIR.OL) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 05/02/2026
