Initially announced on August 18, 2025 MCR made a cash offer for SOHO HOUSE & CO INC of USD 9 per SOHO HOUSE & CO INC share held. Pending the completion of customary closing conditions, the Acquisition is expected to be completed on January 29, 2026. Trading in shares of SOHO HOUSE & CO INC is expected to be halted effective January 29, 2026. In the absence of an active market, the last close price will reflect the Deal Terms of the transaction.

The treatment below will be applied to the following indices:

• SOHO HOUSE & CO INC will be removed from the Index.
• The weight of SOHO HOUSE & CO INC (SHCO.N) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 30/01/2026
