Acquisition | SOFTWARE AG | 6th October 2023

On 21 April 2023, SILVER LAKE TECHNOLOGY MANAGEMENT LLC announced its proposal to acquire SOFTWARE AG (SOW GY) via a takeover offer to the shareholders of SOFTWARE AG at a price of EUR 32 per share. The additional acceptance period expired on 17 July 2023. On 21 September 2023 SILVER LAKE TECHNOLOGY MANAGEMENT announced that it has secured more than 87 percent of shares in SOFTWARE AG (SOW GY). Silver Lake intends to pursue a delisting of SOFTWARE AG as soon as practically possible after closing of the voluntary public tender offer. Since free float of SOFTWARE AG has dropped below 15 percent, Solactive AG will remove SOFTWARE AG with 2 days notice.

• SOFTWARE AG will be removed from the Index.
• The weight of SOFTWARE AG (SOWGn.DE) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 06/10/2023
