Acquisition | SG FLEET GROUP LTD | 17th April 2025

On 4 December 2024, SG FLEET GROUP LTD announced that it had entered into the Scheme Implementation Deed with PACIFIC EQUITY PARTNERS, under which it is proposed that PACIFIC EQUITY PARTNERS will acquire all the SG FLEET GROUP LTD Shares on issue by way of the Scheme. As per the scheme shareholder will receive AUD 3.5 per share. On 8 April 2025, the shareholders approved the scheme. The Scheme remains subject to the approval of the Supreme Court of New South Wales (Court) at the Second Court Hearing scheduled for 9.15am (Sydney time) on 15 April 2025. If the court approves the scheme, the effective date will be 17 April 2025.

The treatment below will be applied to the following indices:

• SG FLEET GROUP LTD will be removed from the Index.
• The weight of SG FLEET GROUP LTD (SGF.AX) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 17/04/2025
