Acquisition | RYOSAN CO LTD | 1st April 2024

RYOYO ELECTRO CORP (8068.T) and RYOSAN CO LTD (8140.T) announced the management integration of the on May 15, 2023, regarding establishment of Ryoyo Ryosan Holdings, Inc which will become the wholly-owning parent company of RYOYO ELECTRO CORP (8068.T) and RYOSAN CO LTD (8140.T).

One common share of the Joint Holding Company Ryoyo Ryosan Holdings will be allotted to one common share of RYOYO ELECTRO CORP (8068.T), and 1.32 common shares of the Joint Holding Company Ryoyo Ryosan Holdings will be allotted to one common share of RYOSAN CO LTD (8140.T) The Companies plan to apply for an initial listing of the shares of the newly established Joint Holding Company Ryoyo Ryosan Holdings on the Prime Market of the Tokyo Stock Exchange. The listing date is expected to be April 1, 2024.

Both RYOYO ELECTRO CORP (8068.T) and RYOSAN CO LTD (8140.T) will pay a cash dividend effective March 28, 2024 and RYOSAN CO LTD (8140.T) will also pay a special dividend effective March 28, 2024.

RYOYO ELECTRO CORP (8068.T) and RYOSAN CO LTD (8140.T) will be delisted from the Tokyo Stock Exchange on March 28, 2024, prior to the listing of the Joint Holding Company. Solactive AG will treat this event as merger of equals and therefore on the event effective date of April 1, 2024, will also apply an ID change ADHOC for RYOYO ELECTRO CORP in addition to the Index treatment announced.

The treatment below will be applied to the following indices:

• RYOSAN CO LTD will be removed from the Index.
• The shares of RYOYO ELECTRO CORP (8068.T) will be increased according to the stock terms of the transaction.
• Effective Date (open): 01/04/2024
