Acquisition | PROVIDENT BANCORP INC | 18th November 2025

Initially announced on June 5, 2025 NB BANCORP ORD and PROVIDENT BANCORP INC announced an agreement under which NB BANCORP ORD will acquire all of the outstanding shares of PROVIDENT BANCORP INC in either: a) 0.691 shares of NB BANCORP ORD common stock per share of PROVIDENT BANCORP INC Common stock (Stock Consideration), or b) $13.00 in cash per share of PROVIDENT BANCORP INC common stock (Cash Consideration). On November 13, 2025 PROVIDENT BANCORP INC announced the election results under which the non-election shares will be converted into the right to receive the Stock Consideration. Pending the completion of customary closing conditions, the Acquisition is expected to be completed on November 17, 2025. Trading in shares of PROVIDENT BANCORP INC is expected to be halted effective November 17, 2025. In the absence of an active market, the last close price will reflect the Deal Terms of the transaction.

The treatment below will be applied to the following indices:

• PROVIDENT BANCORP INC will be removed from the Index.
• The shares of NB BANCORP ORD (NBBK.OQ) will be increased according to the stock terms of the transaction.
• Effective Date (open): 18/11/2025
