Acquisition | POTBELLY CORP | 27th October 2025

Initially announced on September 10, 2025 RACETRAC INC made a cash offer for POTBELLY CORP of USD 17.12 per POTBELLY CORP share held. The tender offer to acquire all of the outstanding common stock of POTBELLY CORP is scheduled to expire on October 22, 2025. Pending the completion of customary closing conditions, the subsequent Acquisition is expected to be completed on October 23, 2025. Trading in shares of POTBELLY CORP is expected to be halted effective October 23, 2025. In the absence of an active market, the last close price will reflect the Deal Terms of the transaction.

The treatment below will be applied to the following indices:

POTBELLY CORP will be removed from the Index.
The weight of POTBELLY CORP (PBPB.OQ) based on its last close price will be distributed pro rata to remaining Index constituents.
