Acquisition | PENNEO A/S | 28th January 2025

On November 29, 2024 VISMA DANMARK launched a tender offer to acquire entire share capital of PENNEO A/S. Each shareholder of PENNEO A/S would receive DKK 16.5 in cash for every share held. The offer period expired on 21 January 2025. Based on the announcement published on January 22, 2025, the offeror acquired 91.52 percent of shares of PENNEO A/S. With acceptances from more than 90 percent of PENNEO A/S shares and regulatory clearance already received, VISMA DANMARK considers all conditions of the offer as fulfilled. Since the free float has dropped below 15 percent, Solactive AG will remove PENNEO A/S giving 2 business days notice.

The treatment below will be applied to the following indices:

• PENNEO A/S will be removed from the Index.
• The weight of PENNEO A/S (PENNEO.CO) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 28/01/2025
