On March 21, 2023 SOPRA STERIA GROUP and ORDINA NV reached an agreement on a recommended all-cash public offer for all shares in ORDINA NV at an Offer Price of EUR 5.75. On July 5, 2023 the parties obtained unconditional competition clearance from the European Commission. Consequently, the condition on competition clearance for completion of the Offer has now been satisfied. ORDINA NV shareholders approved the transaction on September 6, 2023. The tender offer period expired on September 26, 2023 with acceptances representing approximately 92.73percent of ORDINA NV Outstanding Capital. SOPRA STERIA GROUP will announce whether it declares the Offer unconditional on September 29, 2023. As the free float has dropped below 15 percent, Solactive AG will remove ORDINA NV from the indices effective on October 2, 2023.
- ORDINA NV will be removed from the Index.
- The weight of ORDINA NV (ORDN.AS) based on its last close price will be distributed pro rata to remaining Index constituents.
