Acquisition | NATIONAL INSTRUMENTS CORP | 11th October 2023

On January 23, 2023, EMERSON ELECTRIC CO announced its all cash proposal to acquire NATIONAL INSTRUMENTS CORP for USD 60 per share. Shareholders of NATIONAL INSTRUMENTS CORP approved the transaction on June 29, 2023. The merger is tentatively scheduled to close prior to the market open on October 11, 2023. In anticipation of the closing, the stock will be halted immediately following the after-hours session at 8 p.m. on October 10, 2023. If the merger closes as anticipated, the stock will remain halted on the day of closing (October 11th) and will be suspended effective October 12, 2023.

• NATIONAL INSTRUMENTS CORP will be removed from the Index.
• The weight of NATIONAL INSTRUMENTS CORP (NATI.OQ) based on its last close price will be distributed pro rata to remaining Index constituents.
