Acquisition | MEG ENERGY CORP | 18th November 2025

Initially announced on May 15, 2025 CENOVUS ENERGY INC and MEG ENERGY CORP announced an agreement under which MEG ENERGY CORP will receive (i) $30.00 in cash per MEG Share (Cash Consideration); (ii) 1.255 Cenovus common shares per MEG Share (Share Consideration); or (iii) a combination thereof, in all cases, subject to proration. MEG ENERGY CORP shareholders approved the Acquisition on November 6, 2025. As per preliminary result announced on November 12, 2025 of the pro-rationing to determine the form of consideration the MEG Shareholders who elected (or were deemed to have elected) to receive Cash Consideration in respect of 50% of their MEG Shares and Share Consideration in respect of 50% of their MEG Shares will receive approximately 52% of their total consideration as Cash Consideration and 48% as Share Consideration. Pending the completion of customary closing conditions, the Acquisition is expected to be completed on November 17, 2025. Trading in shares of MEG ENERGY CORP is expected to be halted effective November 17, 2025. In the absence of an active market, the last close price will reflect the Deal Terms of the transaction, which will be calculated based on the preliminary results ratio of 52% of their total consideration as Cash Consideration and 48% as Share Consideration. If MEG ENERGY CORP will make further announcement of the final results of the proration form before the effective removal date, Solactive AG will issue an updated announcement with the final terms.

• The weight of MEG ENERGY CORP (MEG.TO) based on its last close price will be distributed pro rata to remaining Index constituents.
