Acquisition | MATTIOLI WOODS PLC | 3rd September 2024

On 8 March 2024, the boards of directors of MATTIOLI WOODS PLC and POLLEN STREET CAPITAL announced that they had reached agreement on the terms and conditions of a recommended cash acquisition pursuant to which POLLEN STREET CAPITAL will acquire the entire issued share capital of MATTIOLI WOODS PLC. The acquisition is intended to be effected by means of a Court sanctioned scheme of arrangement. Each shareholder of MATTIOLI WOODS PLC will receive GBP 8.04 in cash for every share held. Subject to the Court Sanction Hearing, due to be held on 30 August 2024 the last trading date in shares of MATTIOLI WOODS PLC is expected to be September 2, 2024.

The treatment below will be applied to the following indices:

• MATTIOLI WOODS PLC will be removed from the Index.
• The weight of MATTIOLI WOODS PLC (MTWL.L) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 03/09/2024
