Acquisition | LOUNGERS PLC | 11th February 2025

On 28 November 2024, the boards of directors of LOUNGERS PLC and FORTRESS INVESTMENT GROUP reached an agreement on the terms and conditions of a recommended acquisition of LOUNGERS PLC. Each shareholder of LOUNGERS PLC will receive GBP 3.25 in cash for every share held. The Scheme remains subject to the sanction by the Court at the Court Sanction Hearing expected on February 7, 2025. The last trading date is expected to be February 10, 2025.

The treatment below will be applied to the following indices:

• LOUNGERS PLC will be removed from the Index.
• The weight of LOUNGERS PLC (LGRS.L) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 11/02/2025
