Acquisition | JTOWER INC | 17th October 2024

On 14 August 2024, DB PYRAMID HLDGS announced that it would acquire the common shares of JTOWER INC through a tender offer. Each JTOWER INC shareholder would receive JPY 3600 in cash for every share held. On 11 October 2024, the tender offer result was announced with the offeror controlling 93.8 percent of the share capital of JTOWER INC. As the free float has dropped below 15 percent, Solactive will remove JTOWER INC from the indices is expected to be removed from the indices on 17 October 2024. Please note October 14, 2024 is a holiday in the Tokyo Stock Exchange (Health-Sports Day).

The treatment below will be applied to the following indices:

• JTOWER INC will be removed from the Index.
• The weight of JTOWER INC (4485.T) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 17/10/2024
