Acquisition | ILLIMITY BANK SPA | 17th July 2025

On January 8, 2025 BANCA IFIS SPA announced a voluntary tender and exchange offer concerning all the ordinary shares of ILLIMITY BANK SPA for a cash component of EUR 1.506 and 0.10 newly issued BANCA IFIS SPA shares. The acceptance period ran from May 19 to June 27, 2025 with overall acceptances reaching 84.092 percent. An additional acceptance period reopened until July 11, 2025 with the percentage of shares tendered in the offer is 92.5 percent. Since the 90percent acceptance threshold was reached, BANCA IFIS SPA will trigger a cash premium of 5percent, equal to EUR 0.1775 per share, increasing the cash component to EUR 1.6835. As the free float has dropped below 15 percent, Solactive AG will remove ILLIMITY BANK SPA from the indices on July 17, 2025.

The treatment below will be applied to the following indices:

• ILLIMITY BANK SPA will be removed from the Index.
• The shares of BANCA IFIS SPA (IF.MI) will be increased according to the stock terms of the transaction.
• The cash portion of the transaction will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 17/07/2025
