Acquisition | EXCLUSIVE NETWORKS SA | 5th March 2025

On December 19, 2024, Clayton Dubilier & Rice launched a tender offer to acquire entire share capital of EXCLUSIVE NETWORKS SA (EXN FP). Each shareholder of EXCLUSIVE NETWORKS SA will receive EUR 18.96 in cash for every share held. As of the date of the Draft offer document, the acquiror holds 66.66 percent of share capital of EXCLUSIVE NETWORKS SA. The Offer is not subject to any regulatory approval, as the antitrust, foreign direct investment and foreign subsidy regulation approvals (or the confirmation that no regulatory approval was required), required for the closing of the Acquisitions and Contributions and/or the opening of the Offer (as applicable), have already been obtained from the relevant authorities. The offer will open on February 13, 2025 and close on February 28, 2025. Based on the announcement published on February 27, 2025, the acquiror is expected to hold 90.77 percent of share capital of EXCLUSIVE NETWORKS SA (EXN FP) and therefore be able to request the implementation of a squeeze-out. Since the free float has dropped below 15 percent, Solactive AG will remove EXCLUSIVE NETWORKS SA giving 2 business days notice.

The treatment below will be applied to the following indices:

• EXCLUSIVE NETWORKS SA will be removed from the Index.
• The weight of EXCLUSIVE NETWORKS SA (EXN.PA) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 05/03/2025
