Acquisition | ESKER SA | 10th February 2025

Initially announced on October 28, 2024 Boreal Bidco SAS made a cash offer for entire share capital of ESKER SA. Each shareholder of ESKER SA will receive EUR 262 in cash for every share held. Based on the announcement published on February 4, 2025 the acquiror now holds 92.93 percent of the share capital of ESKER SA. The conditions required to carry out the mandatory withdrawal having been met and the acquiror will initiate the process of compulsory squeeze out. Esker’s stock price has been suspended pending the implementation of the squeeze-out and trading will not resume for this stock. In the absence of an active market, the last close price will reflect the Deal Terms of the transaction.

The treatment below will be applied to the following indices:

• ESKER SA will be removed from the Index.
• The weight of ESKER SA (ALESK.PA) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 10/02/2025
