Acquisition | ENFUSION INC – CLASS A | 23rd April 2025

Initially announced on January 13, 2025 CLEARWATER ANALYTICS HDS and ENFUSION INC entered into a definitive merger agreement for CLEARWATER to acquire ENFUSION. ENFUSION shareholders who did not make a valid election or did not deliver a valid election form prior to the Election Deadline will receive, in accordance with the terms of the Merger Agreement, the Per Share Stock Consideration (equal to the Exchange Ratio). According to the terms of the Merger Agreement, and since the Final Parent Stock Price, based on the volume-weighted average price per share of CLEARWATER Class A common stock for the ten-trading day period ending on (and including) April 16, 2025, was USD 23.2440, the Exchange Ratio will be equal to 0.4676. ENFUSION INC – CLASS A shareholders will vote to approve the Acquisition on April 17, 2025. Pending the completion of customary closing conditions, the Acquisition is expected to be completed on April 21, 2025. Trading in shares of ENFUSION INC – CLASS A is expected to be halted effective April 21, 2025. In the absence of an active market, the last close price will reflect the Deal Terms of the transaction.

The treatment below will be applied to the following indices:

• ENFUSION INC – CLASS A will be removed from the Index.
• The weight of ENFUSION INC – CLASS A (ENFN.N) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 23/04/2025
