Acquisition | DECHRA PHARMACEUTICALS PLC | 16th January 2024

On 2 June 2023, the boards of directors of EQT X EUR SCSp and DECHRA PHARMACEUTICALS PLC announced that they had reached agreement on the terms and conditions of a recommended cash acquisition by EQT X EUR SCSp of the entire issued, and to be issued, ordinary share capital of DECHRA PHARMACEUTICALS PLC. The Acquisition will be implemented by means of a Court-sanctioned scheme of arrangement. Each shareholder of DECHRA PHARMACEUTICALS PLC will receive GBP 38.75 in cash for every share held. The European Commission issued its clearance decision on 22 December 2023. The Acquisition will be subject to the Court sanctioning the Scheme at the Sanction Hearing which is expected on January 12, 2024. The last trading date in shares of DECHRA PHARMACEUTICALS PLC will be January 15, 2024.

The treatment below will be applied to the following indices:

• DECHRA PHARMACEUTICALS PLC will be removed from the Index.
• The weight of DECHRA PHARMACEUTICALS PLC (DPH.L) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 16/01/2024
