Acquisition | DARKTRACE PLC | 1st October 2024

On April 26, 2024 Luke Bidco Limited and DARKTRACE PLC announced that they have reached agreement on the terms and conditions of a recommended all cash acquisition by Bidco of the entire issued, and to be issued, ordinary share capital of DARKTRACE PLC. Under the terms of the Acquisition, each DARKTRACE PLC Shareholder will be entitled to receive for each DARKTRACE PLC Share: USD 7.75 in cash. DARKTRACE PLC shareholders approved the scheme at a meeting held on June 18, 2024. On September 16, 2024 DARKTRACE PLC and Bidco announced that all of the Conditions relating to the regulatory and antitrust approvals have been satisfied and that the Scheme will become Effective on October 1, 2024. A Court Hearing scheduled for September 24, 2024 sanctioned the scheme and the last day of dealing in DARKTRACE PLC shares will be on September 30, 2024. The following treatment will be effective on October 1, 2024.

The treatment below will be applied to the following indices:

• DARKTRACE PLC will be removed from the Index.
• The weight of DARKTRACE PLC (DARK.L) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 01/10/2024
