Initially announced on June 12, 2025 BIONTECH SE made a stock offer for CUREVAC BV of 0.05363 shares per CUREVAC BV share held. On December 18, 2025 CUREVAC BV announced that tender offer has reached acceptances of 86.75% of CUREVAC BV issued and outstanding shares. As the free float has dropped below 15 percent, Solactive AG will remove CUREVAC BV giving 2 business days notice. Following the subsequent offer period, non-tendering shareholders who receive BIONTECH ADSs will be subject to a 15% dutch dividend withholding tax. As the offer terms are not fully replicable for non-tendering index investors, Solactive will remove CUREVAC BV at its last traded price.
The treatment below will be applied to the following indices:
- CUREVAC BV will be removed from the Index.
- The weight of CUREVAC BV (CVAC.OQ) based on its last close price will be distributed pro rata to remaining Index constituents.
