Acquisition | COMPUGROUP MEDICAL SE & CO KGA | 26th June 2025

On December 23, 2024, CVC Capital Partners launched a public tender offer to all COMPUGROUP MEDICAL SE & CO KGA shareholders for the acquisition of all shares in exchange for the cash offer price of EUR 22.00 per COMPUGROUP MEDICAL SE & CO KGA share. The offer is subject to a minimum acceptance threshold of 17 percent. The tender offer expired on February 12, 2025 with acceptances reaching 21.85 percent. COMPUGROUP MEDICAL SE & CO KGA and CVC Capital Partners have also agreed to take the company private by way of a delisting offer, which is intended in due course after closing of the tender offer. Delisting tender offer is not subject to any closing conditions and delisting will take place accordingly regardless of the number of tendered shares. Based on the announcement published on June 19, 2025 the last trading date is expected to be June 24, 2025. In the absence of an active market, the last close price will reflect the Deal Terms of the transaction.

The treatment below will be applied to the following indices:

• COMPUGROUP MEDICAL SE & CO KGA will be removed from the Index.
• The weight of COMPUGROUP MEDICAL SE & CO KGA (COP1n.DE) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 26/06/2025
