Acquisition | CIVITANAVI SYSTEMS SPA | 20th August 2024

On March 27, 2024 HONEYWELL INTERNATIONAL INC launched a voluntary tender offer to acquire the entire share capital of CIVITANAVI SYSTEMS SPA. Each shareholder of CIVITANAVI SYSTEMS SPA will receive EUR 6.17 in cash for every share held. The tender offer expired on August 9, 2024. Based on the announcement published on August 14, 2024 the acquirer HONEYWELL INTERNATIONAL INC holds 99.22 percent of share capital of CIVITANAVI SYSTEMS SPA. The offeror has announced that all the conditions of the tender offer are now complete. Since the free float of CIVITANAVI SYSTEMS SPA has dropped below 15 percent, Solactive AG will remove CIVITANAVI SYSTEMS SPA giving 2 business days notice.

The treatment below will be applied to the following indices:

• CIVITANAVI SYSTEMS SPA will be removed from the Index.
• The weight of CIVITANAVI SYSTEMS SPA (CNS.MI) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 20/08/2024
