Acquisition | CIRCOR INTERNATIONAL INC | 23rd October 2023

CIRCOR INTERNATIONAL INC entered into an Agreement and Plan of Merger, by and among CIRCOR INTERNATIONAL INC pursuant to which KKR & CO INC will acquire CIRCOR in an all cash transaction. Each shareholder of CIRCOR INTERNATIONAL INC will receive USD 56 in cash for every share held. On October 16, 2023, the Company confirmed that all regulatory approvals relating to the Merger have been received. The stockholders of CIRCOR approved the transaction at a special meeting held on August 24, 2023. The Merger is currently expected to close prior to market hours on October 18, 2023, subject to the satisfaction of customary closing conditions.

The treatment below will be applied to the following indices:

• CIRCOR INTERNATIONAL INC will be removed from the Index.
• The weight of CIRCOR INTERNATIONAL INC (CIR.N) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 23/10/2023
