Acquisition | BLACKROCK CAPITAL INVESTMENT CORP | 20th March 2024

Initially announced on September 6, 2023, BLACKROCK CAPITAL INVESTMENT CORP (BKCC) will be merged with and into BLACKROCK TCP CAPITAL CORP (TCPC). The shareholders approved the merger on March 7, 2024 and it is tentatively scheduled to close prior to the market open on March 19, 2024. BKCC shareholders will receive 0.3834 newly issued share of TCPC common stock per BKCC share held, as announced on March 18, 2024 afternoon. The index adjustment will be implemented on March 20, 2024 (open).

• BLACKROCK CAPITAL INVESTMENT CORP will be removed from the Index.
• The shares of BLACKROCK TCP CAPITAL CORP (TCPC.OQ) will be increased according to the stock terms of the transaction.
• Effective Date (open): 20/03/2024
