Acquisition | AES BRASIL ENERGIA SA | 1st November 2024

Initially announced on May 16, 2024 AES BRASIL entered into agreement, with AUREN ENERGIA SA, in which the business combination will be carried out through a corporate reorganization that will result in the conversion of AES BRASIL into a wholly-owned subsidiary of AUREN ENERGIA SA. The Default option for shareholders who do not make an election will be a cash and stock offer for AES BRASIL ENERGIA SA of BRL 1.18438832610 and 0.67498865568 shares per AES BRASIL ENERGIA SA share held. The controlling shareholders of AUREN ENERGIA SA and AES BRASIL have undertaken to vote in favor of approving the Transaction in all applicable instances. At an extraordinary shareholder meeting on September 10, 2024 the transaction was approved. The last trading day of the Company’s shares on B3 is expected on October 31, 2024.

The treatment below will be applied to the following indices:

• AES BRASIL ENERGIA SA will be removed from the Index.
• The weight of AES BRASIL ENERGIA SA (AESB3.SA) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 01/11/2024
