Acquisition | LEARNING TECHNOLOGIES GROUP PLC | 31st March 2025

On September 27, 2024 GASC APF announced a possible offer for LEARNING TECHNOLOGIES GROUP PLC. On December 4, 2024 under the terms of the acquisition each LEARNING TECHNOLOGIES GROUP PLC Shareholder will be entitled to receive 100 pence in cash for each share held. LEARNING TECHNOLOGIES GROUP PLC shareholders approved the scheme at a meeting on February 6, 2025. On March 24, 2025 a court sanctioned the scheme. The last day for dealings in LEARNING TECHNOLOGIES GROUP PLC Shares is expected to be 28 March 2025. The suspension of trading in LEARNING TECHNOLOGIES GROUP PLC Shares on AIM is expected to take effect on 31 March 2025.

The treatment below will be applied to the following indices:

• LEARNING TECHNOLOGIES GROUP PLC will be removed from the Index.
• The weight of LEARNING TECHNOLOGIES GROUP PLC (LTGL.L) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 31/03/2025
