Acquisition | TEXTAINER GROUP HOLDINGS LTD | 14th March 2024

On October 23, 2024 TEXTAINER GROUP HOLDINGS LTD announced that will be acquired by Stonepeak for USD 50 per share. At a special meeting of TEXTAINER GROUP HOLDINGS LTD shareholders held on February 22, 2024, shareholders voted to approve the proposed acquisition of TEXTAINER GROUP HOLDINGS LTD by Stonepeak. All required antitrust approvals that are conditions to closing the proposed transaction under the related merger agreement have been received and, subject to the satisfaction those conditions that by their nature are to be satisfied at the closing, the acquisition is currently anticipated to close on March 14, 2024.

The treatment below will be applied to the following indices:

• TEXTAINER GROUP HOLDINGS LTD will be removed from the Index.
• The weight of TEXTAINER GROUP HOLDINGS LTD (TGH.N) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 14/03/2024
