Acquisition | SMART METERING SYSTEMS PLC | 2nd April 2024

On December 7 2023 Sienna Bidco Limited announced the cash acquisition of the entire issued and to be issued ordinary share capital of SMART METERING SYSTEMS PLC for 955 pence per share. Sienna Bidco Limited declared the Offer unconditional on 22 March 2024. Sienna Bidco Limited announce that on 22 March 2024 valid acceptances of the Offer had been received representing approximately 91.30 per cent. of SMART METERING SYSTEMS PLC existing issued share capital. Sienna Bidco Limited will shortly begin the implementation of the compulsory acquisition procedure to acquire any remaining SMART METERING SYSTEMS PLC Shares. SMART METERING SYSTEMS PLC announced that it has made an application to the London Stock Exchange for the proposed cancellation of the admission to trading of SMART METERING SYSTEMS PLC Shares on AIM. The Cancellation is expected to take effect on 25 April 2024. As the free float is below 15 percent, Solactive AG will remove SMART METERING SYSTEMS PLC from the indices on April 2, 2024.

The treatment below will be applied to the following indices:

• SMART METERING SYSTEMS PLC will be removed from the Index.
• The weight of SMART METERING SYSTEMS PLC (SMSS.L) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 02/04/2024
