Announcement | MEG ENERGY CORP | Informative Notice

Dear All,

Solactive AG notes the latest announcement on November 12, 2025, where MEG ENERGY CORP and CENOVUS ENERGY INC announced an agreement under which CENOVUS ENERGY INC Inc will acquire all of the outstanding shares of MEG ENERGY CORP in either: a) $30.00 in cash per MEG ENERGY CORP Share (Cash Consideration); b) 1.255 CENOVUS ENERGY INC common shares per MEG ENERGY CORP Share (Share Consideration); or c) a combination subject to rounding and proration. MEG ENERGY CORP Shareholders who did not make a valid election prior to the Election Deadline were deemed to have elected to receive Cash Consideration with respect to 50% of their MEG ENERGY CORP Shares and Share Consideration with respect to 50% of their MEG ENERGY CORP Shares.
Based on the preliminary result of the pro-rationing to determine the form consideration to be received MEG ENERGY CORP Shares will receive approximately 52% of their total consideration as Cash Consideration and 48% as Share Consideration. The foregoing results are preliminary only, and the final allocation of the Cash Consideration and Share Consideration will be calculated and announced accordingly.
The election deadline for MEG ENERGY CORP Stockholders for their preferred form of merger consideration is November 5, 2025. The transaction is expected to close on November 13, 2025.
Solactive AG notes that the final acquisition terms are subject to proration and will be announced after the end of the election period. Solactive AG will announce the index treatment when the final terms are announced. Following the announcement, Solactive AG will implement the deletion according to our Equity Index Methodology.
