Merger | SIX FLAGS ENTERTAINMENT CORP & CEDAR FAIR LP | 2nd July 2024

On November 2, 2023, SIX FLAGS ENTERTAINMENT CORP and CEDAR FAIR LP announced that they entered into a definitive merger agreement to combine in a merger of equals transaction. SIX FLAGS ENTERTAINMENT CORP will merge with and into CEDAR FAIR LP, and CEDAR FAIR LP will undergo a name change (1:1 exchange ratio) to the new merged company, SIX FLAGS ENTERTAINMENT CORPORATION (NYSE: FUN). Under the terms of the merger agreement, SIX FLAGS ENTERTAINMENT CORP shareholders will receive 0.58 shares of the new combined company for each SIX FLAGS share held. Following the merger, CEDAR FAIR shareholders will own approximately 51.2%, and SIX FLAGS shareholders will own approximately 48.8% of the new combined company. SIX FLAGS shareholders approved the transaction on March 12, 2024. The merger is expected to be completed on July 1, 2024, with the effective date of the share transfer and the first trading day of the new combined company expected to be July 2, 2024. In addition to the stock merger consideration, SIX FLAGS ENTERTAINMENT CORP also announced a special dividend of USD 1.53 conditional on the merger completion, with June 28, 2024 announced as the expected ex-date.

The treatment below will be applied to the following indices:

• SIX FLAGS ENTERTAINMENT CORP will be removed from the Index.
• The weight of SIX FLAGS ENTERTAINMENT CORP (SIX.N) based on its last close price will be distributed pro rata to remaining Index constituents.
