Delisting | VITRU LTD | 7th June 2024

At a special meeting held on April 19, 2024, shareholders of VITRU LTD approved the proposed Merger with its wholly-owned subsidiary, Vitru Brasil Empreendimentos, Participacoes e Comercio S.A. (Vitru Brazil). The Merger is tentatively scheduled to close prior to the market open on June 7, 2024. Non-electing VITRU LTD shareholders will receive four Vitru Brazil ADSs for each common share of VITRU LTD held. Vitru Brazil does not intend to list the Vitru Brazil ADSs on any stock exchange and intends to terminate the Vitru Brazil ADS program 60 days after the completion of the Merger. Any holders of Vitru Brazil ADSs at the end of the 60 day program will receive cash proceeds from the sale of Vitru Brazil Shares by the ADS Depositary.

The treatment below will be applied to the following indices:

• VITRU LTD will be removed from the Index.
• The weight of VITRU LTD (VTRU.OQ) based on its last close price will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 07/06/2024
