Acquisition | ORLA MINING LTD | 31st July 2026

Initially announced on May 13, 2026 EQUINOX GOLD CORP made a cash and stock offer for ORLA MINING LTD of USD 0.0001 and 1 shares per ORLA MINING LTD share held. ORLA MINING LTD shareholders approved the Acquisition on July 3, 2026. On July 22, 2026, EQUINOX GOLD CORP approved the merger agreement. ORLA MINING LTD will seek a final order from the Supreme Court of British Columbia to approve the Arrangement at a hearing expected to be held on July 28, 2026. If all conditions are satisfied or waived, the Arrangement is expected to close on July 31, 2026.Trading in shares of ORLA MINING LTD is expected to be halted effective July 31, 2026.

• The weight of ORLA MINING LTD (OLA.TO) based on its last close price will be distributed pro rata to remaining Index constituents.
