Acquisition | ENVIRI CORPORATION | 2nd June 2026

Initially announced on March 20, 2026 ENVIRI CORPORATION will effect a reorganization and separate its Clean Earth business which will be acquired by Veolia Environment S.A for USD15.00 net cash per old NVRI share. In connection with the closing of the Clean Earth sale, ENVIRI CORPORATION will execute a spin-off of its Harsco Environmental and Rail businesses to shareholders of ENVIRI CORPORATION in which they will receive 0.33333333 shares of New Enviri for each ENVIRI CORPORATION share held. Pending the completion of customary closing conditions, the Acquisition is expected to be completed on June 1, 2026. Trading in shares of ENVIRI CORPORATION is expected to be halted effective June 1, 2026. When Issued trading for New Enviri common stock expected to begin on the NYSE under the name Enviri II Corporation and ticker NVRI WI on May 27, 2026. Regular Way trading for New Enviri common stock expected to begin on the NYSE under the name Enviri Corporation and ticker NVRI on June 2, 2026. In the absence of an active market, the last close price will reflect the Deal Terms of the transaction.

The treatment below will be applied to the following indices:

• ENVIRI CORPORATION will be removed from the Index.
• The shares of ENVIRI II CORPORATION (NVRI_w.N) will be increased according to the stock terms of the transaction.
• The cash portion of the transaction will be distributed pro rata to remaining Index constituents.
• Effective Date (open): 02/06/2026
